These Terms and Conditions govern the use of the website ScalaRecruiters.com and the recruitment services provided through it. By accessing the website or engaging our services, you agree to follow the provisions described below.

Definitions

For the purposes of these Terms, the following definitions apply:

  • Agreement – The written proposal, these Terms and Conditions, and any additional documentation accepted by both the Company and the Client.
  • Client Materials – Information or resources supplied by the Client for recruitment purposes, such as job descriptions, company details, or candidate requirements.
  • Deliverables – The outcomes of recruitment services agreed upon between the Company and the Client.
  • Company Resources – Internal processes, tools, candidate databases, methodologies, and technologies used by the Company while delivering services.
  • Project – The recruitment assignment described in the Agreement.
  • Services – Recruitment, staffing support, and related consulting activities provided by the Company.
  • External Resources – Third-party services, platforms, or tools that may be used in the recruitment process.

Provision of Services

The Company agrees to deliver recruitment and consulting services according to the scope and conditions defined in the accepted proposal or service agreement.

Specific deliverables, timelines, and service details will be outlined in the relevant project documentation.

Validity of Proposals

Unless stated otherwise, any proposal issued by the Company remains open for acceptance for thirty (30) days. If confirmation is not received during this period, the Company may revise the proposal before continuing discussions.

Fees and Expenses

  • Service Fees. The Client agrees to pay the service fees specified in the Agreement.
  • External Costs. If external tools, background checks, or third-party recruitment platforms are required for the Project, these costs may be billed separately where applicable.
  • Additional Expenses. Any previously approved expenses related to recruitment activities may be invoiced to the Client at their actual cost.

Payment Terms

Invoices issued by the Company should be paid within five (5) calendar days unless different terms are specified in the Agreement.

Payments are typically structured according to milestones or recruitment stages described in the project documentation.

Changes to the Scope of Services

Recruitment requirements may evolve during a Project. If the Client requests modifications to the originally agreed scope, such requests must be communicated in writing.

The Company will review the request and inform the Client about potential impacts on pricing, timelines, or deliverables before proceeding with additional work.

Where requested changes significantly alter the original Project scope, a revised proposal may be issued.

Project Timing and Delays

Client Responsibilities

Timely cooperation from the Client is necessary for efficient recruitment. Delays in providing feedback, approvals, or job-related information may affect the overall timeline.

Company Delays

If unforeseen circumstances affect the Company’s ability to deliver services within the estimated timeframe, the Client will be notified as soon as possible.

Circumstances Outside Control

Events beyond the reasonable control of either party, such as natural disasters, government restrictions, or technical failures, may result in adjusted timelines without constituting a breach of the Agreement.

Review of Deliverables

Recruitment deliverables, such as candidate recommendations or hiring reports, will be reviewed internally before being presented to the Client.

The Client should provide feedback within a reasonable period so that the recruitment process can continue efficiently.

Client Responsibilities

The Client agrees to:

  • Provide accurate information about job roles and company requirements
  • Ensure that provided materials do not violate legal or intellectual property rights
  • Respond to candidate-related updates and communications in a timely manner

Failure to provide the necessary information may affect the delivery of recruitment services.

Public References and Portfolio

Unless otherwise agreed in writing, the Company may reference completed recruitment engagements in its professional portfolio, marketing materials, or business presentations.

Confidential Information

During the course of cooperation, both parties may exchange information that is not publicly available. Such information should be handled responsibly and used only for the purposes related to the recruitment Project.

Disclosure of such information to third parties should occur only with permission from the party that provided the information or when disclosure is required by applicable law.

This obligation does not apply to information that becomes publicly available through no fault of the receiving party.

Relationship Between the Parties

The Company provides services as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, or joint venture between the parties.

Each party remains responsible for its own legal, financial, and operational obligations.

Limitation of Responsibility

To the extent allowed by applicable law, the Company’s financial responsibility in connection with services provided under the Agreement will be limited to the total service fees paid by the Client for the relevant Project.

The Company will not be responsible for indirect business losses, loss of profits, or other consequential damages arising from the use of the services.

Use of Company Resources

Internal tools, recruitment methodologies, and systems used by the Company remain its property and are not transferred to the Client as part of the services provided.

Updates to These Terms

The Company may revise these Terms and Conditions periodically. When updates are made, the revised version will be published on the website.

The version applicable to a specific Project will be the version in effect at the time the Agreement was accepted.
